1. Acceptance of Terms

These Terms and Conditions ("Terms") apply to your use of WhatsApp Bulk Engine and related messaging services provided by TechPrecision Innovations India Pvt. Ltd. ("Company", "we", "our", or "us").

By accessing or using the platform, you confirm that you have read and understood these Terms and agree to comply with them. If you do not agree, you must discontinue using the services.

2. Our Services

Depending on your subscription and account access, the platform may provide:

• WhatsApp Business messaging integrations.
• Contact management and authorized contact imports.
• Campaign creation and message scheduling features.
• Approved template management and message delivery tracking.
• Bulk SMS or other communication integrations, where available.
• Campaign logs, reports, and related management tools.

Features may change over time. Availability may depend on your plan, third-party provider requirements, account eligibility, and applicable policies.

3. Account Registration and Security

When registering for an account, you agree to:

• Provide accurate and current registration information.
• Maintain the confidentiality of your login credentials and API tokens.
• Use appropriate security controls to protect your account.
• Promptly notify us of suspected unauthorized access.
• Ensure that individuals accessing your account are authorized.
• Accept responsibility for activities performed through your account, subject to applicable law.

You must not share access credentials with unauthorized parties or attempt to bypass authentication or account security controls.

4. Acceptable Use

You agree to use the platform only for lawful and authorized purposes.

You must not use the platform to:

• Send unsolicited, deceptive, fraudulent, or harassing messages.
• Transmit phishing links, malware, scams, or malicious content.
• Engage in unlawful marketing or unlawful collection of contact data.
• Impersonate another person, business, or organization.
• Send content that violates applicable laws or third-party rights.
• Evade rate limits, platform restrictions, or account enforcement measures.
• Interfere with platform operations, security, or other users.
• Use the service for prohibited products, activities, or content under applicable platform policies.

You are responsible for ensuring that your use of the platform complies with applicable laws and regulations.

5. Messaging Consent and Opt-Outs

You are responsible for ensuring that you have obtained the necessary permission and legal basis before contacting individuals through WhatsApp, SMS, email, or other messaging channels.

• Maintain appropriate records of recipient consent where required.
• Use contact lists only for authorized and lawful purposes.
• Honor STOP, UNSUBSCRIBE, and other applicable opt-out requests.
• Do not continue sending marketing messages to recipients who have opted out.
• Ensure that the content and frequency of messages comply with applicable rules.

Uploading a contact list to the platform does not, by itself, establish recipient consent. You remain responsible for verifying your authority to contact the individuals on that list.

6. WhatsApp and Meta Compliance

Our WhatsApp messaging functionality may depend on services and infrastructure provided by Meta Platforms, Inc. and WhatsApp.

You agree to comply with all applicable third-party policies, including:

• Meta Platform Terms

WhatsApp or Meta may impose messaging limits, template requirements, quality restrictions, account reviews, or other enforcement measures. We do not control independent decisions made by those providers and cannot guarantee uninterrupted access or approval of any particular campaign.

7. Message Content and Contact Lists

You retain responsibility for the messages, media, templates, contact lists, and other material you upload, create, or transmit through the platform.

You represent that:

• You have the necessary rights and permissions to use uploaded data and content.
• Your messages do not unlawfully infringe intellectual property, privacy, or other rights.
• Your contact data was obtained and is used lawfully.
• Your campaigns do not contain unlawful, misleading, or prohibited material.

We may restrict access to content or campaigns when reasonably necessary to investigate suspected misuse, protect the platform, or comply with legal obligations and third-party requirements.

8. Fees and Payments

Certain platform features or messaging services may require payment. Pricing, subscription terms, usage charges, taxes, and payment conditions will be communicated through the applicable plan or agreement.

• You agree to pay applicable charges for services you purchase or use.
• Third-party messaging providers may apply separate charges.
• Taxes and payment processing fees may apply where legally permitted.
• Any refunds will be governed by the applicable purchase terms and law.

We will not guarantee that third-party messaging charges, delivery costs, or provider pricing remain unchanged. Any applicable changes will be handled in accordance with relevant agreements and law.

9. Service Availability and Delivery

We aim to maintain reliable services but do not guarantee that the platform will always be available, uninterrupted, or error-free.

Message delivery may be affected by network conditions, recipient settings, provider restrictions, API limits, template approval, account quality, or other factors beyond our control.

Delivery reports and status indicators may reflect information received from third-party providers. Submission of a message does not guarantee delivery, reading, or a response from the recipient.

10. Suspension and Termination

We may restrict, suspend, or terminate access to the platform where reasonably necessary, including when:

• You materially violate these Terms.
• Your activities present a security, legal, or compliance risk.
• We receive credible reports of abuse or unlawful messaging.
• A provider suspends or restricts a required integration.
• Suspension is necessary to comply with applicable law or a lawful request.

Where appropriate and legally permitted, we may provide notice or an opportunity to address the issue. Termination does not remove payment obligations or other provisions that should reasonably survive termination.

11. Intellectual Property

The platform, its software, design, branding, and related materials are owned by or licensed to TechPrecision Innovations India Pvt. Ltd. and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the platform for its intended business purposes. No ownership rights are transferred to you.

12. Limitation of Liability

To the extent permitted by applicable law, we will not be responsible for indirect, incidental, special, or consequential losses arising from the use or inability to use the platform, including losses resulting from third-party outages, message failures, or unauthorized activity outside our reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law. Any further limitation of liability will be subject to applicable law and the relevant service agreement.

13. Privacy and Data Protection

14. Changes to These Terms

We may update these Terms to reflect changes in our services, business practices, technology, or legal requirements. These Terms are subject to applicable laws of India. Disputes will be addressed in accordance with applicable law and any valid agreement between you and the Company. Nothing in this section removes rights or remedies that cannot lawfully be excluded.
